This Legacy Advisor Agreement ("Agreement") is between MyEverLife Inc. ("MyEverLife," "we," "us") and the individual or business enrolling as a Legacy Advisor ("Advisor," "you"). By registering as an Advisor and accepting this Agreement, you agree to its terms.
MyEverLife appoints you as a non-exclusive, independent Legacy Advisor, authorized to introduce prospective clients to MyEverLife and to enrol them in a Legacy (Unlimited) membership through the Advisor Portal. This Agreement does not create an employment, agency, partnership, or joint-venture relationship. You have no authority to bind MyEverLife, make commitments on its behalf, or modify its products, prices, or terms. Your appointment is conditional on completing the MyEverLife Ethics & Training module and on MyEverLife's approval, which may be withheld or withdrawn at our discretion.
As an Advisor you may: present MyEverLife accurately using approved materials; collect the client details needed to enrol them (name, email, phone, address); and enrol clients through the Advisor Portal. You will direct clients to the Legacy Membership Agreement, Terms of Use, and Privacy Policy, and will not make claims beyond those materials.
MyEverLife sets all prices. Legacy memberships are sold as a one-time charge in Canadian dollars, currently: Individual — CAD $599 (1 account); Couple — CAD $999 (2 accounts); Family — CAD $1,899 (4 accounts); Extended Family — CAD $2,699 (6 accounts). The purchaser receives one activation code for each account included in the plan and may distribute the additional codes; each code activates a separate, independent MyEverLife account. MyEverLife collects payment directly from the client through its payment processor. You do not collect, hold, or handle client funds, and you must not charge clients separately for the membership or add surcharges.
You earn a commission of 20% of the amount MyEverLife actually collects on a completed sale you enrol. The 20% rate is the same on every plan. At current prices that is: $119.80 on a $599 Individual membership; $199.80 on a $999 Couple membership; $379.80 on a $1,899 Family membership; and $539.80 on a $2,699 Extended Family membership. If MyEverLife returns all or part of a customer payment, or a payment is successfully charged back or otherwise reversed, the commission connected with the returned amount may also be reversed. If the commission has not yet been paid, MyEverLife may reduce or reverse it before payout. If it has already been paid, the recoverable amount will be recorded as a negative commission balance and offset against future commissions as described below.
For an ordinary refund of a one-time membership, commission responsibility diminishes evenly over the 24 months following the original customer payment. The recoverable amount is:
The result cannot be less than zero or greater than the commission attributable to the refunded amount. For example, if $10,000 in sales produced $2,000 in commission and all of those sales were refunded after 12 completed months, the recoverable commission would be $1,000. If only 25% of those sales were refunded after six completed months, the recoverable commission would be $375.
This commission-recovery period does not give a customer a right to cancel or receive a refund for 24 months. Customer rights are determined by the applicable membership terms and law.
Commission is calculated separately for each successfully collected monthly payment. A refunded monthly payment ordinarily reverses only the commission associated with that payment. Cancellation stops commission from being earned on future payments. Earlier commissions are not ordinarily recovered unless the corresponding customer payments are also refunded or reversed.
MyEverLife will first apply a recovery against commission that has not yet been paid. Any remaining amount becomes a negative commission balance. For an ordinary recovery, MyEverLife will generally offset no more than 50% of each future commission payout until the balance is repaid. MyEverLife may offset up to 100% and suspend payouts where the balance arose from fraud, deliberate misconduct, or material misrepresentation.
MyEverLife will not debit your bank account without separate express authorization. If future commissions are insufficient, including after this Agreement ends, a finally determined negative balance remains repayable and MyEverLife may provide an invoice or agree to a reasonable repayment arrangement, subject to applicable law.
Before finalizing an adjustment, MyEverLife will provide available details about the affected transaction, the reason, the calculation, and the amount. You may request review within 15 calendar days after notice. MyEverLife may keep the disputed amount from becoming payable while that review or the underlying customer payment dispute is unresolved.
Your Advisor Portal will show pending, payable, paid, reversed, and negative-balance amounts as those features become available.
Version 2 applies prospectively. These updated commission-recovery terms apply to one-time sales completed, and recurring payments collected, after you accept Version 2. Earlier commission events remain governed by the agreement and policy that applied when they occurred, except where applicable law requires otherwise.
You are an independent contractor responsible for your own taxes, expenses, licences, and business registrations. You are responsible for reporting and remitting any taxes on your commissions, including sales taxes such as GST/HST where they apply. MyEverLife will issue the appropriate tax information return where required by law — for example a T4A for Canadian advisors or a Form 1099 for U.S. advisors — and you agree to provide the details needed to do so (such as a SIN or business number in Canada, or a completed Form W-9 (or W-8) in the United States).
Client details you collect are used solely to enrol the client and are handled under MyEverLife's Privacy Policy. MyEverLife is responsible for the client's MyEverLife account and content; you do not have access to a client's MyEverLife content. You must protect any client information you handle and use it only for enrolment, consistent with Section 3.
MyEverLife grants you a limited, revocable, non-transferable licence to use its name and approved marketing materials solely to promote and enrol clients under this Agreement. You may not alter the materials or the brand, or imply endorsement beyond this Agreement. All intellectual property remains MyEverLife's, and this licence ends automatically when this Agreement ends.
You will keep non-public information you receive from MyEverLife or clients confidential, use it only to perform under this Agreement, and return or destroy it when this Agreement ends.
You represent and warrant that the information in your Advisor application is true and complete, including your answers about any criminal record, bankruptcy, regulatory discipline, or offences involving vulnerable persons. You consent to MyEverLife verifying that information, including a background check where permitted. You will promptly notify MyEverLife if any of those answers change, or if you are charged with, or become subject to, any matter that could affect your suitability as an Advisor. A material misstatement or omission is grounds for immediate termination.
This Agreement continues until terminated. MyEverLife may suspend or terminate this Agreement and your Advisor status at any time, for any reason or no reason, with or without cause, effective immediately on notice (including by email or in the Advisor Portal). You may also terminate at any time on notice to us. On termination, your access to the Advisor Portal ends, your licence to use the MyEverLife name and materials ends, you must stop holding yourself out as a Legacy Advisor, and Sections 3, 5, 8, 10, 11, 13, and 14 survive. Eligible commissions that have cleared the 30-day hold will be paid after applying any documented refund, dispute, reversal, or negative balance; no new commissions accrue after termination.
MyEverLife makes no guarantee of sales volume, income, territory, or exclusivity. Your results depend on your own efforts. MyEverLife may change its products, prices, commission structure, or this Agreement on notice. A material change to commission timing or recovery responsibilities must be accepted through the Advisor Portal before a new sale is credited under the changed terms.
To the fullest extent permitted by law, MyEverLife's total liability under this Agreement will not exceed the commissions paid to you in the three months before the claim. You agree to indemnify and hold MyEverLife harmless against claims, losses, and costs arising from your misrepresentations, your breach of this Agreement (including Section 3), your interactions with clients, or your violation of law or of others' rights.
This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules, and the parties submit to the courts of Alberta. This does not deprive you of any mandatory rights or protections of the place where you reside or operate — including another Canadian province, Quebec, or a U.S. state — that cannot be waived by contract; those continue to apply to you.
The restrictions in Section 3 (including non-solicitation) are meant to be enforced to the fullest extent permitted by the law of the jurisdiction where you reside or operate. If a court or tribunal finds any of them broader than that law allows, they will be read down and enforced to the maximum extent permitted rather than struck out entirely.
Quebec. The parties confirm that they have expressly requested that this Agreement and all related documents be drawn up in English. Les parties confirment avoir expressément demandé que la présente convention et tous les documents qui s'y rapportent soient rédigés en anglais.
This Agreement, together with the Code of Ethics and the materials it references, is the entire agreement between the parties on this subject. If any part is found unenforceable, the rest remains in effect, and the unenforceable part will be limited or modified to the least extent needed to make it enforceable. MyEverLife may assign this Agreement; you may not assign it without our written consent.
Your acceptance is recorded with your signed-in Advisor account, the agreement version, and the date and time.
